NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into as of the date of electronic execution between BPO Technology Limited trading as Orqestra ("Disclosing Party") and the individual identified below ("Recipient").

1. Confidential Information
"Confidential Information" means any information disclosed by the Disclosing Party relating to the Orqestra distributed commercial coordination network, including but not limited to: technical architecture, commercial strategy, business plans, financial projections, investor information, partnership details, product roadmaps, source code, and any other proprietary information marked as confidential or which by its nature should reasonably be considered confidential.

2. Obligations of Recipient
The Recipient agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent from the Disclosing Party; (c) use Confidential Information solely for the purpose of evaluating a potential business relationship with the Disclosing Party; (d) notify the Disclosing Party immediately upon becoming aware of any unauthorised disclosure.

3. Permitted Use
Access to this knowledge base is granted solely for the purposes of due diligence, partnership evaluation, or authorised team use as applicable to the Recipient's role. Any other use is strictly prohibited.

4. Term
This Agreement shall remain in force for a period of three (3) years from the date of execution, or until the Confidential Information enters the public domain through no fault of the Recipient.

5. No Licence
Nothing in this Agreement grants the Recipient any licence, right, title, or interest in any Confidential Information beyond the limited access rights described herein.

6. Governing Law
This Agreement shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

7. Data Protection
Personal data collected during registration is processed by BPO Technology Limited in accordance with GDPR. Your signed NDA is retained by BPO Technology Limited for the duration of the agreement. See the privacy notice in the site footer for full details.

8. Electronic Execution
The Recipient acknowledges that electronic execution of this Agreement, including the provision of a typed name below, constitutes a valid and legally binding signature under the Electronic Communications Act 2000 and applicable EU eIDAS regulations.
